Terms of Service

These Terms of Service ("Terms") form a binding contract between you and SeventwoTwo LLC, a U.S. limited liability company ("SeventwoTwo," "Company," "we," "us," or "our"). They govern your access to and use of the Auryn mobile app, the auryn.travel website, and any related products or services (collectively, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

These Terms include important provisions about subscription billing (Section 9), disclaimers (Section 21), limitation of liability (Section 22), and — for users in the United States — a binding individual arbitration clause and class-action waiver (Section 25). Please read those sections carefully.

2. Acceptance and scope

By creating an Account, signing in, installing the app, or accessing the website, you acknowledge that you have read, understood, and agreed to these Terms and the Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Additional product-specific terms or notices may apply to certain features (e.g., a beta program). When that happens, those additional terms are presented in-app and become part of the agreement between you and us in addition to these Terms.

4. Account registration, security, and verification

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your credentials, including your password and any device-level authentication (Face ID, Touch ID, biometrics, passkeys).

You agree to (a) maintain the security of your password, (b) accept all risks of unauthorized access to your Account, and (c) notify us immediately at security@auryn.travel if you suspect any breach of security or unauthorized use.

One Account per person. You may not create an Account on behalf of another person without permission, sell or transfer your Account, or maintain multiple Accounts to evade restrictions. We may, at our discretion, require additional verification (e.g., email confirmation, phone verification, or photo-EXIF review) before granting or restoring access.

5. License to use Auryn

Subject to your continued compliance with these Terms, SeventwoTwo LLC grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited license to install and use the app on devices you own or control, and to access the Service for your personal, non-commercial use.

All rights not expressly granted are reserved. You agree not to (i) copy, modify, or create derivative works of the Service except as permitted by applicable law, (ii) reverse engineer, decompile, or disassemble the app, (iii) attempt to derive source code or underlying ideas, (iv) remove proprietary notices, (v) use the Service to build a competing product, or (vi) sublicense, rent, lease, or sell access to the Service.

6. Your content

Pins, trips, photos, captions, comments — the Content you create in Auryn is and remains yours. We do not claim ownership of your Content.

By submitting Content, you grant SeventwoTwo LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, cache, reproduce, adapt (e.g., resize photos, generate thumbnails, transcode for delivery), publish, transmit, and display your Content solely as necessary to (a) operate, maintain, and improve the Service, (b) make your Content available to recipients you choose (friends, public profile viewers, trip co-travelers), and (c) comply with legal obligations. This license ends when you delete the Content or your Account, except where (i) we are required by law to retain copies, (ii) Content has been shared with other users who retained their own copy, or (iii) anonymized aggregate analytics derived from your Content have been incorporated into our metrics.

You represent and warrant that (a) you own or have the necessary rights and permissions to upload and grant the foregoing license to your Content, (b) the Content does not violate any law or third-party right (privacy, publicity, intellectual property), and (c) the Content does not contain personal data of any other person beyond what is reasonably expected in a travel-memory context (e.g., friends in a group photo).

You alone are responsible for your Content. SeventwoTwo LLC does not endorse user Content and is not responsible for it.

7. Acceptable use policy

You agree not to use the Service to:

Violations may result in Content removal, Account suspension or termination, loss of Pro benefits without refund, and where appropriate, referral to law enforcement or relevant safety hotlines (e.g., NCMEC for CSAM).

8. Verified pins, EXIF, and honest use

A core promise of Auryn is location verification: we use photo EXIF metadata (date, time, GPS coordinates, device model) to confirm that pins are genuine. By uploading a photo to a pin, you authorize us to read this metadata and use it to verify the pin.

Deliberately falsifying location — for example, by injecting forged EXIF, using location-spoofing apps, or uploading other people's photos as your own — is a material breach of these Terms. We may revoke verified status on affected pins, suspend Pro benefits without refund, and terminate Accounts engaged in coordinated abuse.

9. Auryn Pro subscriptions

Some features of the Service require a paid subscription to Auryn Pro. Pricing, included features, and the length of each billing period are shown in the app at the time of purchase and may change in the future as described below.

9.1 Billing

Pro subscriptions are sold and billed exclusively through the App Store you used to install Auryn (Apple App Store or Google Play). Payment is charged to the payment method you have on file with that store. Auryn never sees, processes, or stores your payment instrument.

9.2 Auto-renewal

Pro subscriptions automatically renew at the end of each billing period (monthly or annual, as you selected) unless canceled at least 24 hours before the period ends. The renewal price is charged within 24 hours prior to the end of the current period.

9.3 Cancellation

You may cancel auto-renewal at any time:

You retain Pro access through the end of the period already paid for. There are no prorated refunds for partial periods, except as required by law.

9.4 Refunds

Refunds are handled by the App Store, not by Auryn. Apple users can request refunds at reportaproblem.apple.com. Google Play users can request refunds via the Play Store under your order history. Where mandatory consumer-protection laws (e.g., the EU 14-day cooling-off period) provide additional rights, those rights apply.

9.5 Free trials and introductory offers

Free trials and introductory offers, where available, convert automatically to a paid subscription at the end of the promotional period unless you cancel at least 24 hours before it ends. You are eligible for at most one free trial or introductory offer per Apple ID or Google account, unless we expressly state otherwise.

9.6 Price changes

We may change Pro pricing for future billing periods. We will notify you in-app and by email at least 30 days before any price increase takes effect. If you don't accept the new price, cancel before the next renewal; continued subscription after the change constitutes acceptance.

9.7 If you downgrade or cancel

Cancelling or allowing Auryn Pro to lapse does not, by itself, delete Content you uploaded while subscribed. Existing pins, trips, photos, captions, friendships, moderation history, entitlement records and similar materials generally remain accessible subject to Sections 17–18 and operational constraints of the apps.

What changes: your Account returns to Free-tier capability as implemented by the Services at that time—currently including (without limitation): restrictions on adding new pins once your Account holds ten pins while unsubscribed from Pro; restricting each pin created or edited under Free entitlement to no more than three concurrent photos absent a renewed Pro entitlement; withholding or simplifying Pro-exclusive surfaces such as scripted bulk-photo import, trip authoring/detail experiences that shipped behind Pro subscriptions, exporter modals rendering share-card PNGs, globe/year recap tools, discretionary personalization palettes, discretionary weather payloads, discretionary video payloads, discretionary higher-resolution picker defaults. Exact UI affordances fluctuate slightly by OS build or region—we describe material subscription changes in-product and may update allowances prospectively pursuant to Sections 36 and 20 coordinated with revisions to our Privacy Policy.

If you accrued more pins or attached more media than Free presently permits while subscribed to Pro, you typically retain viewing access to archives already synced; composing new materials may fail until surplus items are voluntarily removed or entitlement resumes. SeventwoTwo disclaims guaranteeing perpetual availability of dormant premium-only exports if platform vendors deprecate dependencies.

10. Communications and notices

By creating an Account, you consent to receive electronic communications from us at the email address on file. These include transactional messages (sign-in alerts, security notices, subscription receipts, important Service updates), product announcements you have not opted out of, and any notice required by law.

You may opt out of non-transactional emails at any time using the unsubscribe link at the bottom of those emails or in your Account settings. You cannot opt out of transactional or legally required communications while you have an active Account.

Push notifications are sent only if you have granted notification permission. You may revoke permission at any time in your device settings or in Settings → Notifications inside the app.

11. Friend connections and shared content

Auryn lets you follow friends, send and receive trip invitations, and share pins. When you share Content with another user, that user may view, react, comment on, screenshot, or download it consistent with the visibility settings you choose. We cannot control or guarantee what other users do with Content you share with them — choose your audience accordingly.

12. Intellectual property of Auryn

The Service, including the app, the website, the source code, the Auryn name and logo, the compass mark, the "Never forget where you've been" tagline, the user interface, design, typography, and all related materials (collectively, "Auryn IP"), are the exclusive property of SeventwoTwo LLC and its licensors. Auryn IP is protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Except for the limited license in Section 5, nothing in these Terms grants you any right, title, or interest in Auryn IP. You may not use Auryn IP without our prior written consent. Third-party components (open-source libraries, map tiles, Wikipedia content, etc.) remain the property of their respective owners and are used under their licenses.

13. Feedback license

If you submit ideas, suggestions, feature requests, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Service or any other product, without obligation or attribution. Don't send Feedback if you don't agree to this.

14. Privacy

Our Privacy Policy explains how we collect, use, share, and protect personal data. It is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy.

15. Third-party services

The Service relies on third-party providers (e.g., Apple, Google, Mapbox, RevenueCat, Cloudflare) and integrates third-party content (e.g., map tiles, place thumbnails from Wikipedia / Wikimedia Commons). Your use of those services is subject to their own terms and privacy policies. We do not control and are not responsible for third-party content, services, or websites linked from the app.

16. Beta features and previews

From time to time we may offer features labeled "Beta", "Preview", "Early Access", or similar. Such features are provided AS-IS, without any warranty, may change or be discontinued at any time, and may be subject to additional terms shown in-app. Use them at your own discretion and don't rely on them for anything important.

17. Reporting violations and copyright takedowns

17.1 Reporting

To report Content or behavior that violates these Terms, use the in-app "Report" action on the offending pin, trip, comment, or profile, or email safety@auryn.travel. We review reports promptly and take action consistent with our policies.

17.2 DMCA copyright notices

SeventwoTwo LLC complies with the U.S. Digital Millennium Copyright Act ("DMCA") and equivalent legislation elsewhere. If you believe your copyrighted work has been used on the Service without authorization, send a notice to our Designated Agent containing:

Send DMCA notices to dmca@auryn.travel. We will respond, and may remove or disable allegedly infringing material, in accordance with the DMCA. Repeat infringers will have their Accounts terminated. If you believe your Content was wrongly removed, you may submit a counter-notice to the same agent.

18. Suspension and termination

You may delete your Account at any time in Settings → Account → Delete account, or by emailing privacy@auryn.travel from the address registered to your Account.

We may suspend, restrict, or terminate your Account or access to any part of the Service, with or without notice, if (a) we reasonably believe you have violated these Terms or any applicable law, (b) we are required to do so by law or governmental order, (c) your Account has been inactive for an extended period (typically over 24 months), or (d) maintaining your Account creates a security or reputational risk.

19. Effects of termination

Upon termination of your Account, (a) your right to access and use the Service ends immediately, (b) we will initiate deletion of your personal data as described in the Privacy Policy, and (c) Sections that by their nature should survive termination — including 6 (license already exercised), 12 (Auryn IP), 13 (Feedback), 21 (Disclaimers), 22 (Limitation of liability), 23 (Indemnification), 24–25 (Disputes and arbitration), and 26 (Governing law) — will continue in force.

20. Modifications to the Service

We are constantly improving the Service. We may add, modify, remove, or discontinue features at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation, except where doing so would breach a paid-subscription obligation (in which case your remedy is described in Section 9).

21. Disclaimers and "as-is" Service

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, SeventwoTwo LLC disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, title, and non-infringement.

We do not warrant that (a) the Service will be uninterrupted, timely, secure, or error-free, (b) defects will be corrected, (c) any Content, including verified pins, will be 100% accurate (EXIF can be manipulated, GPS can be wrong, place data can be incomplete), (d) the Service is free of viruses or harmful components, or (e) results obtained from use of the Service will meet your expectations.

The Service is a memory tool and not a travel planner, safety advisor, or navigation aid. Travel involves inherent risks. We do not verify whether destinations are safe, legal, or suitable. Always consult official advisories (government travel sites, local authorities) before traveling.

22. Limitation of liability

To the maximum extent permitted by law, in no event shall SeventwoTwo LLC, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible loss — arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, SeventwoTwo LLC's total cumulative liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the total amount you paid SeventwoTwo LLC in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such jurisdictions, the limitations apply only to the extent permitted by law, and nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be limited by law.

23. Indemnification

You agree to indemnify, defend, and hold harmless SeventwoTwo LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (a) your Content, (b) your use or misuse of the Service, (c) your breach of these Terms or the Privacy Policy, (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights, or (e) your violation of any applicable law or regulation.

24. Dispute resolution — informal first

Most disputes can be resolved by reaching out. Before filing any formal claim, you agree to contact us at legal@auryn.travel with a written description of the issue and the relief you seek. We will attempt in good faith to resolve the matter within 60 days. If we cannot, then either party may proceed under Section 25.

25. Binding arbitration and class-action waiver (US users)

This Section 25 applies to users located in the United States.

You and SeventwoTwo LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court — except that you may bring qualifying claims in small-claims court.

Class-action waiver. You and SeventwoTwo LLC each waive the right to participate in a class action, class arbitration, or representative action. Disputes will be resolved on an individual basis only. If this waiver is found unenforceable, the entirety of Section 25 is null and void.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@auryn.travel within 30 days of first accepting these Terms (or 30 days of any material modification to this Section). Opting out does not affect any other provision.

The Federal Arbitration Act governs the interpretation and enforcement of this Section. Arbitration will take place in the county of your residence or another mutually agreed location. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court for the alleged unauthorized use or infringement of intellectual property.

26. Governing law and venue

These Terms are governed by the laws of the jurisdiction in which SeventwoTwo LLC is established, without regard to conflict-of-laws principles. For users outside the United States, mandatory consumer-protection laws of your country of residence continue to apply where they cannot be waived by contract.

Subject to Section 25 (for US users), any judicial action must be brought exclusively in the courts of competent jurisdiction at our principal place of business, and you consent to that jurisdiction and venue.

27. EU and UK consumer rights

If you are a consumer resident in the EU, the UK, or another jurisdiction with mandatory consumer-protection rules, nothing in these Terms limits your statutory rights, including your right to a 14-day withdrawal from a paid subscription (where applicable), warranty rights, and the right to pursue claims before the courts of your home jurisdiction.

EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

28. Apple-specific terms

If you obtained Auryn from the Apple App Store, the following apply:

29. Google Play-specific terms

If you obtained Auryn from the Google Play Store, you acknowledge that (a) these Terms are between you and SeventwoTwo LLC only, not with Google, (b) Google is not responsible for the app or its content, and (c) your use of the app must comply with the Google Play Terms of Service. Google may, at its discretion, refuse to distribute or remove the app from the Play Store in accordance with its policies.

30. Export controls and sanctions

The Service and the app may be subject to U.S., UK, EU, and other export-control and economic-sanctions laws. By using Auryn, you represent that (a) you are not located in a country subject to a comprehensive embargo (e.g., Cuba, Iran, North Korea, Syria, the Crimea/DNR/LNR regions of Ukraine), (b) you are not on any restricted-party list maintained by any competent authority, and (c) you will not export, re-export, or transfer the app in violation of applicable law.

31. Force majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, governmental actions, internet or power outages, or third-party-provider failures.

32. Assignment

You may not assign or transfer these Terms or your rights under them, in whole or in part, without our prior written consent. Any attempt to do so without consent is void. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law, without your consent.

33. Severability, waiver, and headings

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. Section headings are for convenience only and have no legal effect on the interpretation of these Terms.

34. Language and translations

The official language of these Terms is English. Translations are provided for your convenience. In the event of any conflict between versions, the English version controls, unless otherwise required by applicable law.

35. Entire agreement

These Terms, together with the Privacy Policy and any additional terms shown in-app for specific features, constitute the entire agreement between you and SeventwoTwo LLC regarding the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

36. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you in-app and/or by email at least 14 days before they take effect. The "Last updated" date at the top reflects the most recent revision. If you continue to use the Service after the effective date, you accept the updated Terms. If you don't accept them, stop using the Service and delete your Account.
